Ireland has seen an increasing number of activist actions since 2015, bringing the total number of campaigns since 2015 to 12. Ranked 2nd in the Eurozone for ease of doing business, Ireland combines a favorable economic environment and a diverse market for investment. Companies listed on the Main Securities Market are required to comply with both the UK Corporate Governance Code and the Irish Corporate Governance Annex
Shareholders reaching, exceeding, or falling below a 3 percent threshold, or where the holder exceeded 3 percent both before and after the transaction, must disclose their voting interests and provide updates when ownership changes whole number increments. The disclosure threshold was reduced from 5 percent to 3 percent following enactment of the Companies Act 2014 of Ireland.
Like the UK, structural defenses are limited for Irish listed companies.
